Terms of Service.
What you get, what we expect, and what happens if either side falls short.
Who’s on each side.
These Terms govern any engagement between you (the client) and WebBrandify, a sole-operator design studio owned and operated by Rohit Sharma, based in Jammu, India. By signing a Statement of Work, paying a deposit, or using the booking system, you accept these Terms.
The three ways in.
- Sprint — 1–2 week engagement. Audit, landing page, or one focused deliverable. Fixed scope.
- Build — 4–8 week engagement. Full platform: design system, production build, automation graph. Fixed scope with one round of meaningful revisions per phase.
- Retainer — Monthly commitment, 3-month minimum. Dedicated weekly capacity, continuous ship cycle, direct channel.
Every engagement begins with a written Statement of Work (SoW). The SoW defines deliverables, timeline, payment schedule, and out-of-scope items. It overrides anything in these Terms if there’s a conflict.
How we get paid.
- Sprint: 100% upfront, fully refundable if work has not commenced.
- Build: 40% on signing, 40% at mid-build review, 20% on production deploy.
- Retainer: Invoiced on the 1st of each month, due within 14 days.
All amounts in USD unless otherwise specified. GST (18%) applies for Indian clients. Late payments accrue 2% per month after a 14-day grace period.
Stop-work clause: We pause delivery if an invoice is more than 21 days overdue. We resume within 48h of payment clearing.
What you receive.
- Source code — handed over on production deploy, owned by you.
- Design files — Figma + tokens, transferred to your workspace.
- Documentation — Loom walkthrough + written handover.
- Automation graphs — n8n / Make / Zapier flows, deployed to your accounts.
- 30-day post-launch warranty — bug fixes (not new features) included by default.
Who owns what.
On full payment, you own the deliverables outright — code, design, copy, and any custom assets. You may use, modify, and redistribute them as you wish.
WebBrandify retains the right to:
- Display the work in our portfolio, case studies, and contest submissions.
- Discuss the engagement in general terms (e.g. “real-estate brand, 4-week rebuild”) without naming the client unless agreed.
- Reuse generic underlying tooling, methodologies, and reusable code components.
If you require full confidentiality (no portfolio mention), this can be arranged with a 25% surcharge on the engagement fee.
How changes work.
Every phase includes one round of meaningful revision — feedback captured in a single consolidated batch within 7 days of delivery. Subsequent revision rounds or out-of-scope additions are billed at $150/hour, agreed in writing before work commences.
Scope creep is the leading cause of failed engagements. We will say “no” gracefully and offer a Change Order for anything outside the signed SoW.
What we promise on time.
Timelines stated in the SoW are commitments, contingent on your timely feedback (within 7 days of each delivery) and timely payment.
If we miss a stated milestone by more than 7 days due to our delay alone, you are entitled to a 10% credit toward the next phase.
How either side can exit.
- You can cancel any engagement with 14 days’ written notice.
- We can cancel if you violate these Terms, miss invoices by > 30 days, or behave abusively to the operator.
- On termination, you owe fees for work completed to date, and we deliver everything completed.
- Deposits for work not yet started are refundable, less a 5% admin fee.
The fine print.
Our liability for any claim arising from an engagement is capped at the total fees paid for that engagement. We are not liable for indirect, consequential, or punitive damages — lost revenue, lost data, lost reputation — except where prohibited by law.
We carry professional indemnity insurance and will share certificate details on request.
If we disagree.
Any dispute is governed by Indian law, with courts in Jammu having exclusive jurisdiction. Before litigation, both parties commit to 30 days of good-faith negotiation followed, if needed, by mediation via an agreed neutral.
When we change these Terms.
We may update these Terms. Material changes are emailed to active clients with 30 days’ notice. The version that applies to your engagement is the one in effect when you signed the SoW — not whatever’s current.
